Brett has extensive experience providing top-level global and domestic legal services to emerging growth and mid-stage companies, as well as to larger publicly held multinational corporations.
During his career in law Brett has successfully structured and negotiated various forms of preferred equity financing, secured and unsecured debt facilities, completed high-profile M&A transactions, and advised on domestic and global corporate structures for clients in the U.S., Hong Kong, China, the U.K., the Cayman Islands, the British Virgin Islands, Australia, Germany, Switzerland, and France.
“Access to legal advice is a critical need of mid-stage startups. Often they are just starting to build out proper corporate structures, set up funding arrangements with investors, and manage their commercial operations. Issues can be complex and confusing – the right guidance at this early stage helps tremendously to set them up for growth and ultimately, for success.”
For the past 10 years Brett has served as founder and principal of Eagle Corporate Advisers, a boutique firm of legal and professional advisors qualified to practice law in Australia and the U.S. The firm provides value to its clients based upon the principles of building commercial and governance structures to maximise value; navigating the challenges of global expansion; finding smart solutions to complex international transactions; and bringing entrepreneurial spirit to augment the clients’ own in-house team.
Eagle Corporate Advisers has also been active in pro bono work and other social and community support projects, one of which was advising the government of Cambodia in establishing its first-ever stock exchange.
Prior to founding Eagle Corporate Advisers, Brett spent many years in New York with Coudert Brothers LLP, where he completed mergers and acquisitions as well as public debt and equity offerings worth hundreds of millions of dollars, working closely with Goldman Sachs, Merrill Lynch, J.P. Morgan and other investment banks. During this time, he also structured and negotiated complex global investment funds with hundreds of millions of dollars invested by university and medical endowment funds, insurance companies, CalPERS and other government pension funds, and advised on U.S. and global securities compliance matters.
For a period of time Brett also worked in Silicon Valley and San Francisco under secondment to the internal legal team at Sun Microsystems Inc.
Prior to being in New York, Brett was based for a number of years in Berlin, Germany, where he completed a Masters of Law degree at Humboldt University while working for corporate law firm Coudert Schürmann Rechtsanwälte. Here he prepared contracts and legal memoranda in German and English in areas of German and European intellectual property, M&A, cross-border litigation, European law and European/German antitrust law.
Brett is admitted as an attorney in New York, U.S.A., and as a solicitor in New South Wales, Australia.
